In each case the technology performs as designed. What failed was governance and more specifically the continuous assurance that systems are behaving within acceptable bounds.

These scenarios illustrate why AI oversight cannot be a once-a-year discussion. Boards need regular reporting, clear accountability, and the ability to interrogate how decisions are made, not just what decisions are made.


A framework of effective AI governance

Boards that take AI seriously are beginning to apply a structure built around three simple principles: alignment, assurance, and accountability.

Alignment means ensuring that AI serves the strategic purpose of the organisation. Every initiative should be connected to a defined business outcome and a clear understanding of value. Across sectors, the best boards are already treating AI as a standing item rather than an occasional topic. Some have established dedicated sub-committees. Others have introduced reporting dashboards that track the performance, integrity and compliance status of key AI systems.

Thought leaders such as Deloitte and IBM have suggested similar approaches, encouraging boards to define explicit accountabilities and to ensure directors have the literacy required to question management intelligently. Harvard’s governance scholars have gone further, proposing that boards treat AI as a “living risk”, one that demands continuous attention rather than episodic review.

The cost of inaction

Underestimating the governance challenge of AI carries both direct and indirect costs. Failures of oversight can result in operational disruption, financial penalties, or reputational damage that takes years to repair. Yet there is a more subtle effect as well.

Where boards do not lead, confidence erodes. Executives become hesitant to deploy AI at scale. Employees, uncertain of policy or precedent, avoid innovation for fear of getting it wrong. The organisation slows.

By contrast, when a board demonstrates clear stewardship, the message travels quickly. Teams innovate within understood boundaries, stakeholders see transparency in action, and trust grows rather than contracts.
